Terms of Service

1. Service Description

Tokyo Brain provides an AI memory infrastructure API ("the Service") operated by Nexus AI (operated by Chang Family AI). The Service enables developers to store, retrieve, and manage persistent memory for AI agents through a RESTful API.

2. Account & Authentication

To use the Service, you must create an account with a valid email address. Upon registration, you will receive an API key for authentication.

• You are responsible for maintaining the security of your API key
• Do not share your API key or embed it in client-side code
• Notify us immediately at [email protected] if you suspect unauthorized use of your key
• You may rotate or revoke API keys at any time through the dashboard or API

3. Acceptable Use

You agree to use the Service in compliance with all applicable laws and regulations. The following uses are prohibited:

• Storing illegal content or content that violates third-party rights
• Attempting to circumvent rate limits or abuse the API
• Using the Service to facilitate spam, phishing, or malicious activities
• Attempting to access other users' data or reverse-engineer the Service
• Storing content that exploits or harms minors

Rate limits apply to all API endpoints. Current limits are documented in our API documentation and may be adjusted with notice.

4. Data Ownership

We access your stored data only as necessary to provide the Service (e.g., returning search results, processing API requests). We do not use your data for any other purpose, including training AI models.

5. Service Level

Tokyo Brain is currently in beta. During the beta period:

• The Service is provided on a best-effort basis
• We do not guarantee specific uptime percentages or SLA commitments
• We may introduce breaking API changes with reasonable notice
• We strive for high availability but cannot guarantee uninterrupted service

We will communicate planned maintenance and known issues through our status page and registered email addresses.

6. Fees & Payment

Current pricing and free tier limits are published on our website and API documentation. We reserve the right to modify pricing with at least 30 days notice. Changes will not affect existing prepaid periods.

7. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• In no event shall Nexus AI be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities
• Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim

8. Indemnification

You agree to indemnify and hold harmless Nexus AI, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

9. Termination

• By you: You may terminate your account at any time by contacting us or using the account deletion feature
• By us: We may terminate or suspend your account for violation of these Terms, with notice where practicable
• Notice period: For terminations not related to Terms violations, we will provide at least 30 days notice
• Data export: Upon termination, you will have 30 days to export your data before it is permanently deleted

10. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Taiwan.
